Contrato de comodato

CONTRATO DE COMODATO
Contrato de Comodato que celebran por una parte la empresa ____________, representada legalmente por el señor______________, a quien en lo sucesivo se le denominara «El Comodante», y por la otra la empresa ____________, representada legalmente por el señor ______________a quien en lo sucesivo se le denominará «El Comodatario», al tenor de los antecedentes, declaraciones y cláusulas siguientes:
A N TECED EN TES Primero. «El Comodante», se constituyó legalmente mediante escritura pública número ______, de fecha ___ de ____________ de _____, otorgada ante la fe del licenciado _____________, Notario Público número ____, de ____________, e inscrita en el Registro Público del Comercio en el folio mercantil número ____.
Segundo. El representante legal de «El Comodante», el señor ________________________, acredita su personalidad mediante Testimonio Notarial número ____, otorgado ante la fe del Notario Público número _______, licenciado __________________ , de _______, el pasado ___ de __________ de ____.
Tercero. «El Comodante» adquirió (bien no fungible -no consumible- objeto del contrato) mediante la operación de _______. (Si se trata de un bien inmueble deberá hacerse la referencia a su inscripción en el Registro Público de la Propiedad).
Cuarto. «El Comodatario», se constituyó legalmente mediante escritura pública número ______, de fecha ___ de ____________ de _____, otorgada ante la fe del licenciado ____________________, Notario Público número ____, de ____________, e inscrita en el Registro Público del Comercio en el folio mercantil número ____.
Quinto. El representante legal de «El Comodatario», el señor _____________________, acredita su personalidad mediante Testimonio Notarial número ____, otorgado ante la fe del Notario Público número _______, licenciado _________________, de _______, el pasado ___ de __________ de ____.
D ECLA R A CIO N ES
I. «El Comodante» declara: a) Estar constituido conforme a las leyes del país. b) Dedicarse a la realización de su objeto social, consistente en _______________ según la cláusula
_________________ de los estatutos sociales previstos en la escritura pública señalada en el antecedente primero de
este contrato.
c) Tener su domicilio en _________________________________.
d) Que es su intención otorgar en comodato el bien señalado en el antecedente tercero de este contrato, a «El
Comodatario», mismo que se encuentra libre de todo gravamen. e) Que su representante legal cuenta con la facultad expresamente concedida para celebrar esta clase de contratos, tal y como se desprende del poder mencionado en el antecedente segundo.
II. «El Comodatario» declara: a) Estar constituido conforme a las leyes del país. b) Tener su domicilio en _________________________________. c) Que no existe algún otro vínculo legal entre este y «El Comodante», salvo el que se genere por la celebración de este
contrato que es meramente de carácter civil. d) Que es su libre voluntad celebrar y obligarse en los términos de este contrato.
C L ÁUSUL AS
PRIMERA: Ambas partes convienen en suscribir el presente contrato, obligándose “El Comodante» a conceder de forma exclusiva el uso del bien descrito en el antecedente tercero de forma gratuita a «El Comodatario», quien queda obligado a devolverlo en un término de ____________, contado a partir de la entrega del bien.
SEGUNDA: «El Comodante» entregará a «El Comodatario» el bien objeto de este contrato en un plazo de ___ días, en las condiciones descritas en el Anexo I de este contrato.
TERCERA: «El Comodatario» se obliga a destinar el bien objeto de este contrato al uso de _______________________.
CUARTA: «El Comodatario» se obliga a efectuar a su costa los gastos ordinarios para la conservación del bien, así como para su uso conforme a la cláusula tercera.
QUINTA: «El Comodatario» se obliga a cuidar y conservar la cosa hasta su entrega a «El Comodante» en el plazo señalado en la cláusula primera y a destinarla para el uso señalado en la cláusula tercera. De excederse este en dicho plazo o destinarlo a uso distinto, será responsable de los daños o pérdida que pudiesen presentarse del bien objeto de este contrato, aun tratándose de caso fortuito o fuerza mayor.
SEXTA: «El Comodatario» será responsable por los daños y pérdida del bien objeto de este contrato, excepto cuando sea por caso fortuito o fuerza mayor, salvo lo dispuesto en la cláusula anterior, así como por el deterioro que este sufriera por el uso ordinario para el que fue otorgado, cuando ello obedezca a su culpa o negligencia.
SÉPTIMA: Para asegurar el adecuado uso de la cosa, «El Comodatario» deberá otorgar garantía a «La Comodante» consistente en __________________________________ (puede utilizarse cualquier medio de garantía fianza, fideicomiso, hipoteca), que deberá estar vigente durante el plazo del contrato señalado en la cláusula primera.
OCTAVA: «El Comodante» podrá exigir a «El Comodatario» la devolución anticipada del bien, por necesidad urgente de la disposición del mismo, o si hay peligro de que el bien perezca en su poder, ambas causas tendrán que ser debidamente justificadas, quedando obligado a dar aviso de tal requerimiento a “El Comodatario” con _____ días de anticipación.
NOVENA: El incumplimiento de cualquiera de las cláusulas del presente contrato por parte de «El Comodatario» será motivo de rescisión del mismo, debiendo indemnizar a «El Comodante» con una cantidad de $ ________ ( ____________________ M.N.), dentro de los ______ días siguientes a su incumplimiento.
DÉCIMA: En caso de que se suscite controversia respecto al presente contrato, las partes convienen en someterse a la competencia de los tribunales del fuero común de ____________________, independientemente de otra.
En la celebración de este contrato intervienen como testigos, los señores ________________________ y _______________, con domicilio en _____________________, y en ______________________________________, respectivamente.
DÉCIMA PRIMERA: Leído íntegramente el presente contrato por las partes y ambas conscientes de su contenido, valor y fuerza legal, lo firman de conformidad a los ______ días del mes de _______________ de _____ en la ciudad de _____________.
